1. Our data protection responsibilities

Otsuka is a handler, in relation to its use of your personal information. This means that we make decisions about how and why we use your personal information, and, because of this, we are responsible for making sure it is used in accordance with applicable data protection laws.

3. How do we collect personal information?

We collect personal information in a number of different situations, which may include:

  • our interactions with you (such as through correspondence, telephone calls, messages, emails, in-person conversations, or when you share information with us from other applications, services or websites);
  • your use of and interactions with our websites, services, content or advertising;
  • orders for products or services;
  • responses to surveys conducted by us or on our behalf;
  • research and clinical trials;
  • employment or consultancy applications;
  • third party service providers;
  • requests for brochures, to join a mailing list or to be contacted for further information about our products or services; and
  • recruitment consultants, previous employers and references provided when you apply for a job or position with us.

If you do not provide us with the information we request, we may not be able to fulfill the relevant purpose of collection, such as to supply products or services to you or to assess an application for employment.

Where practical, we collect personal information directly from the individual. In limited instances we may collect personal information about an individual from someone other than that individual. If we receive information about an individual from someone else (for example from a healthcare provider or someone who supplies goods or services to us), we will take reasonable steps to ensure the individual is aware that we have collected personal information about them and the circumstances of the collection.

Candidate InformationProcessing of Candidate Information is required to enable Otsuka to administer the recruiting process, including the set-up of an electronic job applicant HR file, managing your application, organising interviews.
We may also share Candidate Information with other Otsuka group companies to consider the candidate for future job openings, and we will retain that data for a limited period of time beyond an unsuccessful application for this purpose.
Browsing InformationFor monitoring, operating, improving and producing statistical information regarding the use of our platforms (such as our websites, social media pages, services and business), analysing the browsing information to improve the functionality of the platform and performing analytics and conducting research for advertising and marketing.
Adverse Event Reporting InformationTo comply with our legal obligations where data related to safety or pharmacovigilance is concerned, including those related to collecting, assessing and disclosing information about adverse events, product complaints and patient safety and keeping records of adverse event reports & product quality complaints.

Marketing and promotion
Subject to your choices, we may use personal information to:

  • send you marketing and promotional messages and other information that may be of interest to you, including information sent by, or on behalf of, our business partners; or
  • administer surveys, promotional activities or events including scientific and educational symposia, conferences and programs sponsored or managed by us or our business partners.

Other purposes of collection, use and disclosure

Personal information may be collected, used or disclosed by us in other circumstances where permitted or required by law including to:

  • establish and enforce our legal rights and obligations and monitoring to identify and record fraudulent activity.
  • comply with instructions from law enforcement agencies, any court or otherwise as required by law; or
  • seek to resolve any complaints from or issue or disputes with you.

Personal information may be collected, used or disclosed by us to conduct various types of research and reviews including:

  • clinical, epidemiology and outcome-based research in relation to our products; and

5. Do we use your information for direct marketing?

We, or a business partner acting on our behalf, may from time to time send you marketing communications and information about our products. We only do this in accordance with applicable laws and, where required, with your prior express consent. You may opt-out of receiving marketing materials from us by contacting us using the details set out below or by using the opt-out option provided in the relevant communication.

6. Who do we share your personal information with, and why?

Sometimes we share your personal information with third parties, including the following:

  • Our employees and other Otsuka companies where necessary for the purposes described above.
  • Alliance partners who co-commercialize our products for the purposes described above.
  • Healthcare service providers or healthcare professionals who provide products or services to you.
  • Courts, tribunals or similar, where we are asked to respond to a court order or other binding requests.
  • Government agencies, regulatory authorities and law enforcement agencies where necessary, for any investigations or to respond to enquiries in relation to our compliance with applicable law or regulations.
  • Our existing or potential agents, business partners or partners.
  • Professional advisors (such as lawyers, insurers, auditors, accountants and other professional advisers).
  • Third parties authorized by you to receive information held by us.
  • Our sponsors or promoters of any event, activity, or promotion that we conduct.

We also ask third party service providers to carry out certain business functions for us. These include:

  • IT support, cloud platform and data hosting providers who help us with the operation of our websites, mobile applications, document and workflow management systems and other systems and applications.
  • Service providers assisting us in the organization of events, implementation of promotions, arranging travel logistics and bookings.
  • Service providers who assist with supply chain logistics, delivery of and payment for products and related queries or complaints.
  • Third parties assisting on the collection and disclosure of transfer of value information to the public.
  • Third parties assisting us with our pharmacovigilance, adverse event and product quality complaint reporting responsibilities and our medical information service.
  • Communication service providers, including companies who send out surveys and communications on our behalf.
  • Survey providers who help collate feedback for us. We will have in place an agreement with our service providers which will restrict how they are able to process your personal information and impose appropriate security standards on them.
  • We may also share your personal information with a successor-in-interest (actual or proposed), to continue to perform the functions and activities described above. In the event of a proposed or actual purchase, any reorganization, sale, lease, merger, joint venture, assignment, amalgamation or any other type of acquisition, disposal or financing of all or any portion of our business or of any of the business assets or shares (including in connection with any bankruptcy or similar proceeding).

Additionally, we may disclose personal information to another organisation if:

  • We believe it is necessary to provide a person with a product or service.
  • We believe it is necessary to protect the rights, property or personal safety of any of our customers, any member of the public or our interests.
  • You have provided your consent.
  • Required or authorized by law or court or tribunal order.

7. Where is your personal information transferred to?

Since Otsuka is part of a global organisation, we will sometimes need to transfer your personal information outside of Australia, in particular but not limited to, the United States of America, Japan, New Zealand, South Korea, Europe, India, Philippines and countries in Asia Pacific. We will only make that transfer if the relevant transfer requirements under law are satisfied.

8. How do we keep your personal information secure?

We will put in place appropriate security measures to protect your personal information from unlawful or unauthorized processing and accidental loss, destruction, or damage.

However please note that, in relation to any personal information you submit to us online, we cannot guarantee the security of data sent to us in this way. Transmission of data over the internet is at your own risk.

9. How long do we keep your personal information for?

We will only retain your personal information for a limited period of time, and for no longer than is necessary for the purposes for which we are processing it. This will depend on a number of factors, including:

  • any laws or regulations that we are required to follow;
  • whether we are in a dispute with each other or any third party;
  • the type of information that we hold about you; and
  • whether we are asked by you or a regulatory authority to keep your personal information for a valid reason.

12. What are your privacy rights and how can you exercise them?

Where our processing of your personal information is based on your consent, you may withdraw your consent at any time. If you do decide to withdraw your consent, we will stop processing your personal information for that purpose, unless there is another basis we can rely on.

You may make a request to:

  • Access your personal information and to be provided with certain information in relation to it.
  • Correct any inaccuracies in your personal information. When the request is made, we will take reasonable steps to ensure that the personal information is corrected.

There are certain exceptions where we may or are required to refuse to process an access or correction request. If we intend to rely on an exception, we will let you know.

Addendum
In addition to the General Privacy Notice, this Addendum sets out how we collect, store, use, disclose and otherwise manage personal information in New Zealand in compliance with the Privacy Act 2020 (“Privacy Act”).

Disclosure of personal information outside New Zealand

We may disclose your personal information to foreign agencies outside New Zealand including other Otsuka group companies in the EU, United States of America, Japan, South Korea, counties in Asia Pacific, and elsewhere. When we do so, we will ensure that the foreign agency is required to protect your personal information in a way that, overall, provides comparable safeguards to those in the Privacy Act, for example, pursuant to a data transfer agreement with the foreign agency.

Access to and correction of your personal information – New Zealand

You are entitled to receive confirmation about whether we hold personal information about you, and to access that personal information. You are also entitled to request that we correct the personal information we hold about you and/or request that we attach a statement of correction to your personal information.
